One of our renewable energy clients specializes in solar energy projects, focused on developing, financing, and managing utility-scale solar photovoltaic (PV) projects. They are looking for a Managing Counsel to primarily focus on debt and tax equity financing to join their growing legal team.

This is an exciting opportunity to have an impact on and be part of a smaller legal team within a growing, international, mission-driven company.

The majority of the legal team works remote, so applicants located anywhere in the U.S. are welcomed to apply.

You will be responsible for:

Project Finance:
- Provide legal services to structured finance, corporate financing, and investment management teams.
- Draft and negotiate various financial documents (e.g., loan documents, tax equity agreements, amendments).
- Advise teams on project risks, due diligence, financial close, and funding events.

Sell-Side Mergers & Acquisitions (M&A):
- Draft and negotiate M&A agreements for solar project disposals.
- Manage joint venture arrangements and asset/management services agreements.

General Legal Duties:
- Lead and manage legal team members.
- Assist in corporate structuring for tax efficiencies and risk mitigation.
- Develop templates and processes for efficient agreement management.
- Negotiate non-disclosure and consulting agreements.
- Liaise with internal teams across various business units.
- Ensure compliance with corporate policies.

Additional Opportunities:
- Manage external legal resources and contract management team.
- Engage in other legal areas as business needs arise.

A qualified candidate looks like:
- Transactional attorney with extensive experience in project financing within the renewable energy sector.
- Strong knowledge of tax equity structures and related transactions.
- Preferred sell-side M&A experience.
- At least 5-10+ years of experience, qualified attorney.
- Experience from a top-tier firm or similar in-house role.
